I. Foundational & Legal Framework

1. Introduction & Acceptance

By using the Weavengineers website, placing an order, or entering into any business transaction with the Company, the Customer agrees to be bound by these Terms & Conditions. These terms apply to all domestic and international buyers and supersede any prior agreements or understandings.

II. Product, Orders, and Manufacturing

3. Products, Specifications, and Sizing

  • Design & Samples: All orders are based on either the Customer’s provided sample or Weavengineers’ approved counter-sample.
  • Variations: Due to the nature of denim and garment manufacturing (washing, dyeing, cutting), minor variations in color shade (due to lot variation), fabric texture, size tolerance (standard industry acceptable deviation), and finish are inherent and accepted by the Customer.
  • Images: Product images, sketches, and digital representations are for illustrative purposes only. The final product quality and fit are governed solely by the approved pre-production sample (PPS).
  • Product Updates: Weavengineers reserves the right to make minor design or material substitutions that do not significantly impact the product's function, quality, or aesthetics without prior notice.

4. Orders & Acceptance

  • Order Binding: Orders are considered binding only upon Weavengineers' written confirmation and the receipt of any required advance payment/deposit.
  • Minimum Order Quantity (MOQ): All orders are subject to the stated Minimum Order Quantities (MOQs) per style/color, as specified in the Proforma Invoice. Any deviation must be agreed upon in writing.
  • Refusal of Order: Weavengineers reserves the absolute right to refuse any order for any reason, including but not limited to, failure to meet credit terms or conflicts with existing exclusivity agreements.

5. Pricing & Payment

  • Currency & Exclusions: For all international export orders, prices shall be quoted in United States Dollars (USD), or as explicitly agreed upon in writing in the Proforma Invoice. Prices exclude all applicable taxes, duties, tariffs, and freight costs, unless explicitly stated as a Delivered Duty Paid (DDP) or similar Incoterm.
  • Payment Terms: Standard payment terms are 50% Advance Deposit, 50% Balance against Copy of Bill of Lading or confirmed, irrevocable Letter of Credit (L/C) at sight.
  • Late Payment: Payments not received by the due date shall be subject to an interest charge of 2% per month, or the maximum legal limit, plus any collection costs.

6. Shipping & Delivery

  • Incoterms: All deliveries shall be based on the specific Incoterms®️ 2020 rule (FOB, CIF, or any other) as explicitly stated on the Proforma Invoice. The selected Incoterm defines the precise division of costs, risks, and responsibilities between Weavengineers and the Customer. The Transfer of Risk (as detailed below) will align with the selected Incoterm rule.
  • Transfer of Risk: The risk of loss or damage to the goods, as well as the title, transfers to the Customer immediately upon the goods being handed over to the carrier at the agreed-upon point (as defined by the Incoterm).
  • Customs & Local Compliance: The Customer is solely responsible for all import customs clearance, local taxes, duties, port charges, and compliance with the destination country’s import regulations.
  • Delivery Schedule: Delivery dates are provided as good faith estimates and are not guaranteed. Weavengineers is not liable for delays caused by the carrier, customs, or events beyond its control.

7. Documentation

  • Weavengineers shall provide standard export documentation: Commercial Invoice, Detailed Packing List, and Bill of Lading (B/L) or Air Waybill (AWB).
  • Additional Documents: Any specialized documentation (e.g., GSP Certificate of Origin, specific textile compliance certificates, or pre-shipment inspection certificates) requested by the Customer must be communicated at the time of order and shall be provided at the Customer’s cost and responsibility, unless otherwise agreed in writing.

IV. Post-Delivery & Liability

8. Inspection & Quality Claims

  • Inspection Period: The Customer must conduct a thorough inspection of the goods immediately upon receipt. Claims for manufacturing defects, quality issues, or shortages must be submitted in writing within 10 working days of the delivery date.
  • Acceptance: Failure to lodge a claim within this period constitutes unconditional acceptance of the goods as satisfactory and compliant with the order.
  • Defect Standard: Claims will only be considered for defects that exceed the internationally accepted AQL 2.5 quality standard and are not due to the inherent variations defined in Clause 3.
  • Liability Limit: For valid claims, Weavengineers’ sole liability is limited to, at its discretion, either replacing the defective goods or issuing a credit note for the value of the defective portion. The Company is explicitly not liable for any costs related to re-labelling, re-packaging, re-working, or lost sales/profit (consequential losses).

9. Returns & Cancellations

  • Returns: No goods shall be returned without prior written authorization from Weavengineers.
  • Custom Orders: All denim apparel is custom-manufactured based on the Customer's specifications; therefore, all custom/special/Private Label orders are non-refundable and non-returnable.
  • Cancellations: Cancellation of an order that has entered the production phase will result in the forfeiture of the advance deposit and may incur additional charges for materials purchased and production time incurred up to the date of cancellation.

10. Warranties & Limitation of Liability

  • Warranty: Goods are warranted to be free from material defects in manufacturing and to conform to the approved PPS for a period of 30 days from shipment. All other warranties, express or implied (including fitness for a particular purpose), are hereby disclaimed.
  • Improper Use: Weavengineers shall not be liable for any damages resulting from improper handling, washing, storage, retail display, or installation (e.g., application of third-party tags/labels) by the Customer or its agents.
  • Aggregate Liability: In no event shall Weavengineers aggregate liability for any claim exceed the total invoice value of the specific goods supplied under the relevant order.

V. General & Miscellaneous

11. Intellectual Property (IP)

  • Weavengineers’ IP: All content, designs, images, logos, and technical specifications created and owned by Weavengineers remain the exclusive property of Weavengineers.
  • Customer’s IP & Indemnity: The Customer warrants that any designs, logos, or specifications provided for custom production do not infringe upon the IP rights of any third party. The Customer agrees to indemnify and hold Weavengineers harmless against any and all claims, costs, or damages arising from IP infringement related to the goods produced based on the Customer’s instructions.

12. Compliance & Export Control

  • The Customer is responsible for adhering to all relevant laws, regulations, permits, and licensing requirements of the importing country.
  • Weavengineers is not responsible if goods are seized, restricted, or delayed due to the Customer's failure to comply with destination country laws.

13. Force Majeure

Weavengineers shall not be deemed in breach of this agreement or liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including, but not limited to: natural disasters, war, political unrest, pandemic, strikes, factory closures, materials shortages, or unexpected shipping/logistical restrictions.

14. Governing Law & Dispute Resolution

  • This Agreement shall be governed by and construed in accordance with the laws of India.
  • Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to this contract, or the breach, termination, or invalidity thereof, shall be finally settled by binding arbitration administered by Indian Chambers of Commerce (ICC) in accordance with its rules. The seat of arbitration shall be New Delhi, India, and the language shall be English.

15. Amendments

Weavengineers reserve the right to update or modify these Terms & Conditions at any time. The continued use of the website or placement of subsequent orders after any such changes constitutes the Customer’s acceptance of the revised terms.
